Terms of Service — Rackzip

1. Acceptance of Terms

By accessing or using Rackzip (“the Service”), operated by Rackzip Inc. (“we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the Service.

2. Description of Service

Rackzip provides cloud-based warehouse management software (WMS) including inventory tracking, order fulfillment, location management, 3PL client management, billing, shipment tracking, and related operational tools. The Service is offered on a subscription basis with tiered plans.

3. Account Registration

You must provide accurate, complete, and current information during registration.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account.
You must be at least 18 years old to create an account.
One person or legal entity may not maintain more than one free account.

4. Subscription & Billing

Paid plans are billed monthly in advance via Stripe.
All fees are exclusive of applicable taxes unless stated otherwise.
You may upgrade, downgrade, or cancel your subscription at any time through the Subscription page or Stripe customer portal.
Downgrades take effect at the end of the current billing period.
No refunds are issued for partial months of service or unused features.
We reserve the right to change pricing with 30 days’ notice.

5. Free Trial

New subscriptions may include a 14-day free trial. During the trial, you have access to all features of the selected plan. If you do not cancel before the trial ends, your payment method will be charged automatically.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Attempt to gain unauthorized access to any part of the Service or its related systems.
Interfere with or disrupt the integrity or performance of the Service.
Reverse-engineer, decompile, or disassemble any part of the Service.
Use the Service to store or transmit malicious code, malware, or harmful data.
Share account credentials with unauthorized third parties.

7. Data Ownership & Intellectual Property

Your Data: You retain all rights to the data you upload, create, or manage through the Service (inventory records, client information, shipment data, etc.). We do not claim ownership of your data.
Our Service: All rights, title, and interest in the Service, including its design, code, features, and documentation, belong to Rackzip Inc.
Feedback: Any suggestions or feedback you provide about the Service may be used by us without obligation to you.

8. Data Security

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, role-based access controls, and regular security audits. However, no method of electronic transmission or storage is 100% secure. See our Privacy Policy for more details.

9. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and are not liable for temporary unavailability due to maintenance, updates, or circumstances beyond our control. Scheduled maintenance will be communicated in advance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Rackzip Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

11. Termination

You may terminate your account at any time by canceling your subscription and contacting support.
We may suspend or terminate your access if you breach these terms, with reasonable notice when possible.
Upon termination, you may request an export of your data within 30 days. After that period, we may delete your data in accordance with our data retention policies.

12. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the updated terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.
